The Samsung Compliance & Compliance Committee expressed its first position, saying, “We have different opinions,” to the judiciary that judged that the committee’s effectiveness was insufficient.

The Compliance Committee issued a statement immediately after the regular meeting on this day and said, “The committee is not in a position to make any comments on the results of the judgment,” but said, “However, among the reasons for the judgment, opinions on the judgment on the effectiveness of the committee are clearly different.” .

The Compliance Committee said, “This is the evaluation of the committee regardless of the will of the committee. Since its inception, despite the harsh internal and external environment, all efforts have been made to pioneer Samsung’s desirable compliance management culture.”

He added, “I will not elaborate on the basis of the judgment of the judgment,” he said. “We will use it as an opportunity to look back on the committee itself, and prove its effectiveness only with the result.”

The Samsung Compliance Monitoring Committee was established in response to the recommendation of Vice Chairman Lee Jae-yong to set up an effective compliance monitoring system by the Court of Recall of the’Gukjeong Nongdan Case’. The judge said that the effectiveness of the compliance committee could be evaluated and reflected in the sentencing.

However, the court judged the Samsung Compliance Committee at the judgment on the 18th, saying, “It is difficult to say that the effectiveness standards have been met,” and “it seems that it is not able to preemptively monitor new behaviors that may occur in the future.” He was sentenced to two years and six months in prison.

The Compliance Committee said in a statement on the day that “the past year’s close committee activities have not resulted in rewards and achievements.” “In the company, the attitude of the top management to deal with compliance issues has changed, and it has been detected that the compliance culture is gradually changing.” Evaluated.

He said, “But the committee itself is well aware that it is still far short of proclaiming the achievements of the committee.” “The committee will continue to do my job regardless of the ruling.”

The Compliance Committee added that it will take precautions to prevent another risk related to management succession from occurring, and that it will also work in the fields of labor and communication.

Samsung Electronics Vice Chairman Lee Jae-yong, who was sentenced to imprisonment on the 18th, said through a lawyer on the same day, “Along with the commitment to continue supporting the activities of the Compliance Committee, the chairman and members of the committee will continue to fulfill their role in the future.” It gave strength to the above activities.

At the meeting that day, the Compliance Committee discussed amendments to the operating regulations to strengthen the effectiveness of the committee.

The amendment included the content that the board of directors’ resolution should be passed when the affiliates refuse to accept the recommendation of the committee, and when the committee is re-recommended, the chairman of the compliance committee is present at the board of directors to ensure the authority to state opinions. The amendment is finalized through the resolution of the board of directors of the agreement company.

The committee converted the meetings between compliance and compliance officers of affiliates, which are currently being held irregularly, into a regular council for regular quarterly meetings, and received a report on the establishment of a working-level council for the compliance department.

Meanwhile, on the 26th, the Compliance Committee is scheduled to hold a meeting with CEOs of seven affiliates, including Samsung Electronics, Samsung Electro-Mechanics, Samsung SDI, Samsung SDS, Samsung Life Insurance, Samsung Fire & Marine Insurance, and Samsung C&T.
